Section 1 – Introduction & Consent to Terms
Welcome to Help Handed LLC, a Kentucky limited liability company’s (referred to herein as “Help Handed”, “we”, “us”, or “our”) Terms of Service (referred to herein as the “Terms”). Help Handed is a help marketplace for Help Seekers (as defined below) to connect with potential Volunteers (as defined below) in connection with Help Requests (as defined below) and for Volunteers to connect with Help Seekers to provide those Help Services (as defined below) as listed in one or more Help Requests.
If you do not agree to these Terms, we ask that you please not use our help marketplace platform (our “Services”). Signing up or becoming a User (as defined below) of our Platform (as defined below) constitutes explicit acceptance of these Terms.
These Terms apply to all users of our website, Helphanded.com, as well as any other platforms or applications that we offer, market, or promote our Services through, now in effect or hereinafter created (collectively our “Platform”). By using our Platform or signing up for our Services, you agree to be bound by these Terms.
We reserve the right to modify the contents of these Terms at any time, upon prior written notice to you. Any modification to these Terms will be notated at the top of this Terms and will also be communicated to you, in writing.
If you are using our Platform or our Services on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on such entity’s behalf and that such entity agrees to be responsible to us if you or that entity violates these Terms.
Section 2 – Our Services, Limitations, and Responsibilities of Users
2.1 Our Services
Help Handed provides an online help marketplace for Users to connect with one another for Help Requests.
The person(s) independently providing the Help Services in connection with a Help Request are called a “Volunteer” or “Volunteers” whereas the person(s) seeking help from a Volunteer are called a “Help Seeker” or “Help Seekers”. Volunteers and Help Seekers are referred to herein collectively as a “User”, Users”, or “you”.
“Help Services” refers to the specific help being sought by a Help Seeker and provided by a Volunteer, as outlined in a Help Request.
Our Services include, without limitation:
- Providing the Platform for Help Seekers to create and post Help Requests, in search of potential Volunteers;
- Providing the Platform for Volunteers to seek to be connected with Help Seekers in connection with Help Requests;
- Providing the Platform for Help Seekers to purchase the ability to see the contact information of Volunteers;
- Providing the Platform for Help Seekers to make more informed decisions about prospective Volunteers; and
- Providing the Platform as an online help marketplace for Users to share information with other Users related to the providing or receiving of help.
2.2 Limitations of our Services and Your Content
All Help Services, as well as interactions between Users who access and use our Platform are between Users and not Help Handed. Help Handed is not part of these interactions nor a party to Help Services and shall not bear any liability nor responsibility for any issues, disputes, or liability resulting from interactions between Users or in connection with the Help Services.
By using our Platform or signing up for our Services, each User expressly acknowledges and agrees that Help Handed does not supervise or control the performance by Users with respect to their use of our Platform, their interactions with other Users, or the Help Services. Each User of our Platform is an independently contracting third party and is not an agent of Help Handed and cannot bind Help Handed by any of their actions or inactions. Users are solely responsible for their own conduct on or off of our Platform, with other Users, and in connection with Help Services.
By using our Platform or signing up for our Services, each User expressly acknowledges and agrees that Help Handed:
(i) is not responsible for the content of Users on our Platform;
(ii) is not responsible for the performance or conduct of Users, whether with interactions with other Users or the Help Services; and
(iii) does not make any promises, representations, or warranties about the Users on our Platform, including that the Help Services will be delivered, or the sufficiency or quality of the Help Services.
Content found within a Help Request should be complete, accurate, and thorough enough for potential Volunteers to obtain accurate information about the Help Request and the specific Help Services that are being requested. Help Handed does not control User-generated content and expressly disclaims responsibility for User-generated content. Help Handed does not guarantee or warrant that User-generated content is accurate, complete, or sufficient for the purposes of the Help Services. Content provided by Users, whether on their Profile (as defined below), in connection with a Help Request, or otherwise, are the responsibility of Users.
By posting Content on our Platform, you grant Help Handed a non-exclusive, worldwide, royalty-free, and transferable license to host, use, distribute, display, and create derivative works of your Content on our Platform. This license will terminate when you delete the Content from our Platform.
Help Handed does not:
(i) guarantee the accuracy or completeness of any information on our Platform provided by Users, or
(ii) adopt, endorse or accept responsibility for the accuracy or reliability of any Users information or content, whether on our Platform or off of our Platform. Under no circumstances will Help Handed be responsible for any loss or damage resulting from your reliance on information or other content posted on or transmitted by another User.
Help Handed does not refer or recommend Users of our Platform. Help Handed does not employ or engage Users on our Platform. All decisions made by Users with respect to seeking, obtaining, or providing Help Services, or anything in connection thereto, are made in connection with their own independent judgment, independence, agency, and free-will.
Help Handed does not offer messaging functionality for Users. All direct communications between Users take place off-Platform. All Users of our Platform are responsible for their communications with other Users.
Since all Users are independent third-parties, Users are solely responsible for their actions on or off our Platform, none of which can bind Help Handed. That said, if we determine that the conduct of a User on our Platform does not meet our rules, requirements, or guidelines, in our sole discretion, we will remove, suspend and/or ban their Profile and their ability to use our Platform.
Any claims arising from interactions between Users are subject to the indemnification obligations set forth in Section 23.
2.3 User Responsibilities
By using our Platform or signing up for our Services, each User is also responsible for:
(i) evaluating and determining whether or not they have provided or received enough information necessary to receive or providing the Help Services;
(ii) conducting any and all necessary due diligence (as determined by a User) prior to receiving or providing Help Services;
(iii) determining the specific expectations, requirements, location, needs, or sufficiency of receiving or providing the Help Services; and
(iv) fulfilling their obligations with respect to another User.
All of our Users are solely responsible for their actions of any kind on or off our Platform.
Help Handed does not mediate disputes with another User.
BY USING OUR SERVICES, EACH USER EXPLICITLY AGREES THAT IF HE/SHE HAS A DISPUTE WITH ANOTHER USER, THIS DISPUTE IS UNIQUE TO THE OTHER USER AND THAT HELP HANDED IS NOT AND SHALL NEVER BECOME A PARTY TO YOUR DISPUTE. BY USING OUR SERVICES, EACH USER HEREBY RELEASES HELP HANDED AND ITS OWNERS, AGENTS, PARENTS, SUBSIDIARIES, AND AFFILIATED COMPANIES FROM ANY AND ALL DAMAGES, ACTIONS, DEMANDS, LIABILITIES, OR SIMILAR, KNOWN OR UNKNOWN, ARISING OUT OF OR CONNECTED TO A DISPUTE BETWEEN USERS ON OR OFF OF OUR PLATFORM.
Section 3 – Disclaimers for Help Services and Prohibited Help Services
3.1 Disclaimers for Help Services
Engaging a Volunteer for Help Services is not a substitute for licensed or professional assistance. Our Platform is intended solely for non-professional, volunteer assistance among Users.
To the extent that a User is exchanging information in connection with Help Services, all such information of any kind communicated by a User, whether on our Platform, in connection with the Help Services, or otherwise, is provided and intended for general information purposes only and should not be solely relied upon. Use of information provided by Users is at your own risk.
To the extent that a Volunteer is providing services as part of their Help Services, all such services are provided as-is and at your own risk.
Help Handed does not permit the offering or provision of Help Services that require professional licenses or permits, as more fully detailed below. Except for the Prohibited Services (as defined below), certain laws may require some regulatory compliance to perform specific Help Services. If you are a Volunteer and you are providing services that require regulatory compliance, you represent and warrant that you have obtained any and all regulatory compliance necessary to perform the specific Help Services.
In addition:
- It is your duty as a User to ensure that you have obtained, received, or verified any and all experience of a Volunteer necessary to perform Help Services, if any.
- Users understand and agree that Help Handed does not control, and has no right to control, the Help Services between Users.
- Agreeing to receive help from a Volunteer for Help Services and paying for access to their contact information does not guarantee that the Volunteer will provide the Help Services, that the Help Services will be performed to your specific needs, or that the Volunteer’s Help Services will be free of issues or errors.
- Unforeseen circumstances may affect the outcome of your Help Services.
Help Handed is a technology company that offers Users the ability to connect with one another in connection with Help Services. None of the Help Services are carried out by Help Handed. All of the Help Services are carried out by independent Volunteers.
We highly recommend that you review the Profile with references (if available) and background checks (if available), and conduct your own independent due diligence before working with another User that you connected with through our Platform.
3.2 Prohibited Help Services
Users may only post Help Requests for, offer to provide, or perform Help Services that:
- Are expressly listed and available for selection in the Platform’s designated Help Types at the time of posting or responding; and
- Do not require a professional or occupational license, certification, permit, or other governmental or regulatory authorization under applicable law (collectively the “Prohibited Services”).
Any Help Request, offer, or service that falls outside the designated Help Types, or that involves services requiring professional licensing or regulatory approval, is strictly prohibited.
Examples of prohibited services include, but are not limited to:
- Medical, nursing, or healthcare services
- Legal advice or representation
- Financial planning, investment advice, tax preparation, or accounting services
- Real estate brokerage or appraisal
- Electrical, plumbing, HVAC, or other licensed trade services
- Childcare or eldercare services requiring state licensing
- Therapy, counseling, or mental health services
Help Handed reserves the right, in its sole discretion and without prior notice, to remove any Help Request, cancel any offer to help, or suspend or terminate any User account that violates this Section. Help Handed also reserves the right, in its sole discretion and without prior notice, to modify, alter, or change the type(s) of Prohibited Services that cannot be requested or provided by a User.
Users are solely responsible for ensuring that the Help Services they request, offer, or provide are (i) available for selection within the Platform’s current Help Types and categories and (ii) do not require professional licensing or regulatory approval. Help Handed does not verify or assume responsibility for such compliance.
By using the Platform, each User represents and warrants that any Help Requests they post and Help Services they offer or perform fully comply with this Section.
Section 4 – Background Checks and Safety Policy
4.1 General Policy
Help Handed requires certain Volunteers, and highly encourages all Users, to purchase one or more background checks (herein “Background Checks” or a “Background Check”) through third parties that we partner with for the purposes of providing background information on Users and for the purposes of protecting the safety and integrity of our Platform and other Users. Your use of the Background Check services by these third parties will be bound by their applicable terms of service.
Please be aware that these are add-on services, which will come at a cost to you.
Background Checks are valid for twelve (12) months. Once twelve (12) months have passed since your Background Check, you may be required to obtain a new Background Check, or you can do so voluntarily, consistent with these Terms.
4.2 Certain Help Services Requiring Background Checks
Certain Help Services offered through our Platform that are associated with certain Help Types may involve heightened responsibilities, risks, or compliance obligations regarding your background and ability to provide these Help Services. For example, Help Handed requires passed Background Checks for Volunteers who provide Helps Services that require the Volunteer to enter the personal residence of a Help Seeker, the provision of any financial education services, as well as transportation services. These examples are provided for illustrative purposes and are not the full scope of Help Services that require a Background Check. The required Help Services that require one or more Background Checks will be communicated to you on our Platform.
In order to protect the safety and security of all Users, Help Handed reserves the right, in its sole discretion, to require Volunteers to successfully complete one or more background checks, criminal records checks, sex-offender registry checks, driving records checks, or other screenings before the Volunteer is permitted to offer or provide help for those designated Help Services.
Volunteers agree to promptly complete Background Checks required by Help Handed through its designated third-party provider(s). A Volunteer’s ability to offer help on any Help Services that Help Handed has designated as requiring Background Checks will remain restricted until the Volunteer has passed the required Background Check, to Help Handed’s satisfaction.
Help Handed may, from time to time and without prior notice, modify the Help Services that require Background Checks, the specific types of Background Checks required, or the third-party provider used. Volunteers will be notified through the Platform when a Background Check is required for a particular Help Service or Help Services they wish to offer.
Failure to complete or pass any required Background Checks may result in the Volunteer being prohibited from offering help on the applicable Help Services, or, in Help Handed’s discretion, suspension or termination of the Volunteer’s account.
4.3 Compliance with Applicable Laws
All Background Checks are in compliance with the Fair Credit Reporting Act (the “FCRA”). Background Checks initiated through our Platform are subject to the regulations and requirements of the FCRA, which governs the collection, dissemination, and use of consumer information, including consumer reports. We strive to ensure that all background check processes adhere to applicable federal and state laws. However, Help Handed does not guarantee the accuracy, completeness, or timeliness of the information provided in any Background Checks.
Users acknowledge that background check results are based on information obtained from third-party sources, and Help Handed is not responsible for any inaccuracies or omissions in such data. Under no circumstances will Help Handed be liable for any loss, damage, or legal consequences arising from your use of or reliance on Background Checks provided through our Platform.
By ordering a Background Check, you agree to comply with the FCRA as well as all other applicable laws, rules, and regulations regarding your Background Check.
4.4 Use and Review of Background Checks by Help Handed
Help Handed will receive a copy of each Background Check ordered through our Platform. By initiating one or more Background Checks through our Platform, you authorize these third-party companies to make available the results of the Background Checks to Help Handed, regardless of the contents of the Background Check.
If you have ordered a Background Check through our Platform, Help Handed may indicate on your Profile that you have completed the Background Check and/or any material issues that are apparent in connection with your Background Check.
By ordering a Background Check, you understand and agree that Help Handed may review and use any information obtained from your Background Check for the purposes of protecting the safety and integrity of our Platform and our Users. By ordering a Background Check, you understand and agree that Help Handed may suspend or terminate your access to our Platform based on the information contained in your Background Check.
4.5 Additional Background Check Information
Individuals subject to background checks have the right under the FCRA to receive a copy of their report, dispute inaccuracies, and be informed of how their information is used.
Any inaccuracies reflected in your Background Check should be addressed with the consumer reporting agency and not Help Handed.
We retain Background Check data only as long as the Background Check requester is a User on our Platform and to comply with applicable laws. We take reasonable measures to protect your information.

4.6 Communications to Users Regarding Suspension, Restriction, or Termination
Help Handed shall, in its sole discretion, have the right to inform Help Seekers or any other Users that another User’s ability to use our Platform has been suspended, restricted, or terminated due to the User’s failure to comply with these Terms (including but not limited to failure to complete or pass required Screening Checks, violation of the Code of Conduct, or any other breach of these Terms). This shall specifically include initial Background Checks or subsequent Background Checks.
Although Help Handed generally does not communicate the reason for why a User’s ability to provide Help Services has been suspended, restricted, or terminated, Help Handed reserves the right to communicate the reason for suspension, restriction, or termination, if required by law, or if Help Handed determines that, in order to protect other Users, such disclosure is necessary for the safety of its Users.
Such disclosure may be made through the Platform (for example, by displaying a notice on the User’s profile, on specific Help Requests, or in messaging), via email, or in any other manner Help Handed deems appropriate, and is intended to protect the safety, trust, and integrity of the Help Handed community.
If you have obtained a Background Check, all Users expressly consent to such disclosure and, to the maximum extent permitted by applicable law, irrevocably waive and release any and all claims, actions, demands, liabilities, damages (including direct, indirect, consequential, punitive, or incidental damages), losses, costs, or expenses of any kind (including attorneys’ fees) against Help Handed, its affiliates, owners, officers, directors, managers, employees, agents, and successors arising from or related to the fact, content, timing, manner, or consequences of any such communication or disclosure of the User’s suspension, restriction, limitation, or termination due to a breach of these Terms. Such waiver and release shall specifically apply, without limitation, to claims for reputational harm, defamation, invasion of privacy, publicity rights, emotional distress, or any other personal or proprietary rights.
Section 5 – Eligibility, Registration, and Profiles
5.1 Eligibility
By using our Platform, you represent and warrant that:
(i) You are at least eighteen (18) years old;
(ii) You have the full power and authority to enter into these Terms;
(iii) You have the legal ability to receive or provide the Help Services;
(iv) You intend to use our Services solely to connect with other Users in connection with receiving or providing Help Services, or obtaining any information related thereto;
(v) You have never been convicted of, arrested for, charged, complained of, or have been subject to a restraining order or other legal restriction for any legal crime involving a felony, any legal action involving physical, sexual, or emotional abuse or neglect, theft, drug offense, offense that involves the endangerment or physical violence on a third party, any offense stemming from fraud, theft, act that involves dishonesty, or reckless or negligent conduct, or are a registered sex offender; and
(vi) You have never been previously kicked off our Platform.
Your use of our Services involves the use of hardware, software, and access to the internet. These system requirements may change from time to time. You acknowledge and agree that all system or internet requirements for our Services is/are your sole responsibility, and you acknowledge and agree that failure to comply with all hardware, software, and internet requirements will be borne solely by you.
You are solely responsible for maintaining the confidentiality of your password and account information and are responsible for all activity that takes place on your account.
5.2 Termination of Your Use of our Platform
We reserve the right to terminate any User’s access to our Platform, as well as a User’s Profile, and/or any Content listed therein, for any reason, with or without notice, for any breach of these Terms, breach of applicable law, or other reason in our sole discretion. We are not obligated to provide you with prior notice or an opportunity to cure such violations before terminating your access, your Profile, or the applicable Content.
You acknowledge and agree that if your use of our Platform is terminated by Help Handed for a breach of these Terms or breach of applicable law, Help Handed, at its discretion, may notify other Users whom we believe you have connected with or interacted with about your termination.
You acknowledge and agree that any action we take to terminate your access to the Platform, including notifying other Users with whom we believe you may have interacted or connected with, is solely for operational, legal, or safety purposes. Our decision to terminate your access or to communicate such termination to others does not constitute, and shall not be construed as, a statement, judgment, or reflection on your character, general reputation, personal attributes, or similar. We expressly disclaim any liability for any interpretation or use of such actions as bearing on your personal qualities or standing, and you agree not to represent or rely on our actions as evidence of the same.
5.3 Creating a Profile
When you register for our Services, you will be prompted to create a profile (a “Profile” or “Profiles”), which will include information about yourself, including all information required by Help Handed, which may change from time to time.
Please ensure that all information listed on your Profile is true and correct to your best belief and knowledge, is not in violation of any law or the rights of any third parties (such as intellectual property rights), and is acceptable for viewing by minors.
All information you provide on your Profile is at your own risk.
If you have not created an account and Profile on our Platform, your limited use of our Platform will only be to view our Platform’s public content.
5.4 Organization Profiles
We also allow the creation of Organization Profiles (referred to herein as an “Organization” or “Organizations”), which enables at least one but no more than three Organization administrators (referred to herein as an “Administrator” or “Administrators”) to manage an Organization Profile and add or remove the Volunteers that may be associated with each Organization. Administrators must be members of the Organization. Users that are associated with an Organization are referred to herein as a “Member” or “Members”.
By permitting Users to be associated with your Organization, each Administrator represents and warrants that those Members are in ‘good standing’ with the Organization, based on the requirements as set forth by the Organization to be in ‘good standing’. Help Handed does not police ‘good standing’ membership but instead relies on Administrators to determine whether or not a Member is in ‘good standing’ with the Organization. If a Member is not in ‘good standing’ with an Organization, that Member should not be designated as a Member of your Organization on the Platform.
Volunteers can be Members of more than one Organization. Organizations can have an unlimited number of Members.
Through an Organization Profile, Administrators may be able to see metrics from Volunteers associated with the Organization, to see each Volunteer’s helpfulness in the community. However, this will not include information on who that Member helped, or the details of the Help Services provided.
By being a Member of an Organization, Members understand that:
- Members cannot bind their Organization(s) by any of their actions or inactions on our Platform, with other Users, or in connection with Help Services; and
- Members are solely responsible for their own actions on our Platform with other Users, or in connection with Help Services.
MEMBERS UNDERSTAND AND AGREE THAT IF THEY HAVE A DISPUTE WITH ANOTHER USER, THIS DISPUTE IS UNIQUE TO THE MEMBER AND THE OTHER USER AND THAT NEITHER HELP HANDED NOR THE ORGANIZATION NOR THE ADMINISTRATORS SHALL BECOME A PARTY TO THE DISPUTE.
Section 6 – Use of Our Services
6.1 For Help Seekers:
- You can submit a Help Request for (i) yourself, or (ii) a person that you are legally responsible for (ex: a parent or child).
- All Content that you post on our Platform should be solely for the purpose of seeking, finding, or managing Help Requests.
- Please be sure to appropriately, thoroughly, and completely describe the Help Services that you are looking to obtain, timeframe for services, photographs (if applicable), the reason for requiring a volunteer instead of paid help, and any other pertinent needs for the Help Services.
- You are not permitted to reuse Help Requests to match with multiple Volunteers or otherwise attempt to circumvent our Introduction Fee policy.
- Only after paying the Introduction Fee (as defined below) can you then see the contact information for the Volunteer.
- If you agree to receive Help Services, we ask that you follow through on your commitments to Volunteers.
- You are responsible for any and all activity that takes place on your Profile.
In addition:
- You must select every Help Type that applies to your request.
- The description you write and the Help Services you are requesting must stay within the Help Types you select. Requests that fall outside your chosen Help Type(s) (example: asking for yard work when you only selected “Companionship”) may be rejected or removed, or may result in your suspension or termination from our Platform.
By posting a Help Request, you also agree:
- Every service or task you request in the description or seek to receive falls entirely within the Help Type(s) you select.
- You have selected all Help Types that accurately describe the assistance needed.
- You are otherwise in compliance with these Terms.
6.2 For Volunteers:
- You will include a thorough and accurate explanation of your reason for having an interest in providing volunteer Help Services to Help Seekers. The explanation will assist Help Seekers in selecting the appropriate Volunteer to provide Help Services.
- You will only respond to Help Requests and provide Help Services that you have the required licensure, skillset, or experience to provide.
- If you agree to provide Help Services, you will make every effort to fulfill the Help Services. Failure to do so may negatively reflect on your completion metrics on our Platform.
- You are responsible for any and all activity that takes place on your Profile.
6.3 For all Users:
By becoming a User on our Platform:
- You understand and agree that your contact information may be viewable to other Users upon payment of an Introduction Fee, and you grant to Help Handed the right and ability to share your contact information with another connected User.
By becoming a User on our Platform, you represent and warrant the following:
- All information provided by you on our Platform is true and correct to your best belief and knowledge;
- There are no material misrepresentations found on your Profile or in connection with a Help Request;
- You are not impersonating another person; and
- Any job, license, or skills that are displayed on our Platform is/are true and correct to your best belief and knowledge.
By agreeing to provide or receive Help Services, you understand that you are bound by the following additional obligations:
- All Help Services, whether provided or received, will be handled in a reasonably professional and respectful manner;
- You will do your best to keep your commitments, including timeliness, dates of service, and other elements of a request;
- If you need to cancel or change your Help Services with another User, you will let them know as reasonably soon as possible, or as well in advance as possible;
- You will not intimidate, harass, or threaten another User;
- You will keep all information received from another User as strictly confidential (subject to our Confidentiality section); and
- You will abide by all applicable laws, rules, regulations, and standards when performing or receiving the Help Services.
All Users agree to be bound by the following community guidelines:
- At all times, treat others the way you would like to be treated;
- Keep communications, at all times, professional and respectful;
- Refrain from using inflammatory, aggressive, or hostile language; and
- Do not treat other Users differently based on their immutable characteristics.
You are prohibited from using our Platform:
- for any unlawful purpose;
- to solicit others to perform or participate in any unlawful acts;
- to engage in any defamatory, inaccurate, offensive, sexually-oriented, threatening, harassing, racially offensive, fraudulent, or misleading manner; or
- for any purposes that Help Handed determines, in its sole discretion, to be objectionable.
Please be aware that using our Platform is a privilege – not a right.
We reserve the right to terminate your access as a User, with or without notice, in our sole discretion, for a breach of these Terms.
Section 7 – Completion of a Help Request and Leaving References
After completion of a Help Request, either the Volunteer or the Help Seeker can mark on our Platform that a Help Request has been completed.
- If a Help Seeker marks that a Help Request has been completed, the Help Request will be deemed completed immediately.
- If a Volunteer marks that a Help Request has been completed, a message will be sent to the Help Seeker on our Platform to confirm or deny that the Help Request has been completed. If the Help Seeker does not respond within one (1) week, or other timeframe as determined by Help Handed, in our sole discretion, Help Handed will mark the Help Request as completed.
Please be aware that we may have calculated metrics on Profiles, which detail, for example: number Requests for Help, completion rate, and other metrics that we may determine. We use these calculated metrics in connection with running, managing, or improving our Platform.
Users may be able to leave references for other Users with whom they are associated with through a completed Help Request. By leaving a reference about another User, you acknowledge and agree that the reference may be published on our Platform. References can be hidden or made public by the Users who have received the reference.
Public references of a User will only be viewable to other Users if the User has activated a Help Request (visible to all registered Users) or if the User has offered help on a Help Request (visible to the Help Request owner).
If you have a negative experience with another User, you are able to notify Help Handed about your experience through their profile. This information will only be sent to Help Handed and will not be made public.
Section 8 – Introduction Fee and No Payment Between Users
Help Handed charges an “Introduction Fee” to the Help Seeker to view the contact information of Volunteers. The Introduction Fee will be as listed on our Platform and as shown to you at the time of purchase.
Users are not charged a fee to create an account, set up a Profile, provide, or receive Help Services.
Help Handed reserves the right to alter, amend, or change its Introduction Fee charges, or other fees charged to Users, at any time prior to paying the Introduction Fee. Having previously paid a certain Introduction Fee amount does not guarantee that you will always pay that Introduction Fee amount.
Due to the nature of the Platform, namely that Help Handed is a marketplace for volunteer help, it is a violation of our Terms to pay another User, or require payment from another User in connection with Help Services, or anything related thereto.
Section 9 – Terms of Sale
All prices shown are in U.S. Dollars.
When a Help Seeker provides payment information, the Help Seeker represents and warrants that the information they provide is accurate and that they are authorized to use the payment method provided. The Help Seeker agrees that they are responsible to pay for and will pay for all such charges.
Failure to pay any monies owed, in full, will cause all past-due amounts to accrue interest at the higher of: (i) three percent (3%) per month, or (ii) the highest rate permitted under applicable law, until paid in full. If you fail to pay any monies due, Help Handed reserves the right to terminate your access to our Services. Help Handed reserves the right to transfer your invoice, account, and any past-due payments to a collection agency or attorney. If your invoice, account, and any past-due amounts are transferred to a collection agency or attorney, Help Handed shall be entitled to recover all reasonable and necessary costs and fees in collecting your past-due balance, including all reasonable attorneys’ fees.
Section 10 – Refund Policy
No refunds shall be due to you once you have purchased an Introduction Fee. No part of the Introduction Fee is tied to the Volunteer actually performing the Help Services, nor the quality of the Help Services provided by the Volunteer.
By paying the Introduction Fee, you agree that you are paying for access to the contact information of a Volunteer, and that by Help Handed providing you access to the contact information of the Volunteer, you have received what you paid for.
If you paid an Introduction Fee and were not able to obtain the Help Services from a Volunteer who has confirmed their failure to deliver Help Services, we may provide you with the ability to view the contact information of another, single, Volunteer, without paying an additional Introduction Fee on the same Help Request, unless you are in breach of these Terms or are otherwise attempting to abuse this policy, in the sole discretion of Help Handed.
Section 11 – Dispute Policy
Help Handed does not mediate, review, or otherwise participate in a dispute with another User.
Section 12 – Our Intellectual Property
The contents of our Platform are protected by United States and international copyright laws. The contents of our Platform are owned exclusively by Help Handed or licensed to us. You may not, and may not cause or encourage others to, reproduce, distribute, display, sell, transfer, assign, license or use for commercial purposes any copyrighted material on our Platform (the “Intellectual Property”) without our prior written consent. All rights not expressly granted in these Terms are reserved to Help Handed.
Help Handed and its name, logos, slogans, or otherwise are trademarks or service marks (“Marks”) of Help Handed. All rights in these Marks are reserved by Help Handed. You may not use any Help Handed-provided Marks or other logos or graphics without our prior written consent.
We grant you a limited, revocable, non-transferable, and non-exclusive license to access and make personal use of our Platform. This limited license does not include the right to:
(i) republish, redistribute, transmit, sell, license, or download our Platform or any and/or all content except as is necessary to view and/or use our Platform;
(ii) make use of the Platform or any and/or all content other than uses consistent with the Services;
(iii) modify, reverse engineer, or create any derivative works based upon either our Platform or any content found therein;
(iv) collect account information for the benefit of yourself or another party; or
(v) use software robots, spiders, crawlers, or similar data gathering and extraction tools, or take any other action that may impose an unreasonable burden or load on our infrastructure.
Any unauthorized use by you of our Platform automatically terminates this license without prejudice to any other remedy provided by applicable law or these Terms.
Section 13 – Your Submissions
If you send submissions of any kind, with or without a request from us, including ideas, suggestions, proposals, plans, or other materials, whether online, by email, or otherwise (“Submissions”), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any Submissions that you forward to us.
This does not include any information that is bound by the Confidential Information Section.
We are and shall be under no obligation (1) to maintain any Submissions in confidence; (2) to pay compensation to you for any Submissions; or (3) to respond to any Submissions. By submitting Submissions to us, you hereby transfer and assign any claim to any rights that you may have had in those Submissions and do so with full acknowledgment of the same.
You agree that your Submissions will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. We take no responsibility and assume no liability for any Submissions submitted by you.
Section 14 – Third Party Websites
Our Platform may contain links to third-party websites or services that are not owned or controlled by us. Help Handed has no control over, and assumes no responsibility for, the content, privacy policies, or business practices of any third-party companies or persons. We strongly encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
By using our Platform, you expressly waive Help Handed, our employees, agents, owners, and principals from all liability arising from your use of any content, plans, or services provided by third parties.
YOU AGREE THAT HELP HANDED WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY HARM RELATED THERETO, OR FOR ANY DAMAGES OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OR RELIANCE ON THE WEBSITE OF A THIRD PARTY.
Section 15 – Copyright Infringement
If you believe that your copyright has been infringed by one of the Users of Help Handed, please immediately send us a notice to help@helphanded.com with the following information:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material.
- Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
- A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
We respond to notices of copyright infringement immediately and take any such allegations seriously. The reported content will be taken down within seventy-two (72) hours of written notice. We do not mediate disputes.
However, if content that is alleged to be infringing, in our opinion, has no merit, the content will be placed back on our Platform.
Help Handed prohibits any infringement of intellectual property rights by any User of our Platform.
Section 16 – Opt-In to Electronic Communications
By signing up for our Services and providing Help Handed with one or more forms of communication, you explicitly consent to receive communications related to our Services.
By signing up for our Services, you also consent to receive marketing and other communications from Help Handed.
You are able to terminate this consent by
(i) responding to the email or other communication you receive; or
(ii) by sending us an email to help@helphanded.com.
Section 17 – Term & Errors
These Terms will remain active and in full force and effect so long as they are posted on our Platform.
Occasionally, there may be information on our Platform that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions at any time.
Section 18 – Data Security
Help Handed will maintain and enforce information and data privacy and security procedures with respect to its access, use, and storage of all Data (as defined below) that (i) are at least equal to industry standards, and (ii) comply with applicable federal, state, and local laws. For purposes of these Terms, “Data” means all data, content, materials, and other information provided by Users on the Platform.
Help Handed will promptly report to Users any breaches of security or unauthorized access to Help Handed systems that Help Handed detects or becomes aware of. Help Handed will use diligent efforts to remedy such breach of security or unauthorized access in a timely manner.
Requester understands and acknowledges that no security system is impenetrable and subject to Help Handed’s negligence, Help Handed shall have no liability for a security breach involving the Data.

Section 19 – Confidentiality
Each User agrees that the nature of the underlying relationship, except for any public-elements shown on our Platform, shall be and remain confidential, not disclosed to any third party, unless explicitly permitted by the other User, in writing.
Each User acknowledges and agrees that they will have access to information that is treated as confidential by other Users, including, without limitation, name, contact information, address, information related to the Help Services, and any other information that a User knows or has reason to know that the other User would not want to be made public, whether written, oral, or otherwise (collectively, the “Confidential Information”).
Each User agrees to treat all Confidential Information as strictly confidential, not to disclose such information to any third party without the other User’s prior written consent, or as required by law, and not to use any Confidential Information for any purpose except as required in the performance of the Help Services.
Section 20 – Waivers
20.1 General Waivers
YOUR USE OF OUR PLATFORM AND HELP SERVICES IS AT YOUR OWN RISK. INTERACTIONS BETWEEN USERS OCCUR AT THEIR OWN DISCRETION AND RISK, WHETHER ONLINE OR IN PERSON.
BY USING OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT RECEIVING OR PROVIDING HELP SERVICES CARRIES WITH IT SOME INHERENT RISKS, INCLUDING BUT NOT LIMITED TO PHYSICAL INJURY, PROPERTY DAMAGE, EMOTIONAL DISTRESS, OR FINANCIAL LOSS. HELP HANDED DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY HELP SERVICES, OR ANYTHING CONNECTED THERETO, FROM USERS YOU WERE CONNECTED TO ON OUR PLATFORM.
IF THERE HAS BEEN SOME KIND OF INJURY OR DAMAGE (WHETHER PERSONAL OR TO PROPERTY) IN CONNECTION WITH THE HELP SERVICES, THE ISSUE AND/OR RESOLUTION OF THE INJURY OR DAMAGE MUST BE HANDLED BETWEEN USERS. HELP HANDED IS NOT RESPONSIBLE FOR INJURY OR DAMAGE THAT RESULTS FROM THE HELP SERVICES, DURING THE HELP SERVICES, BEFORE, OR AFTER.
HELP HANDED IS NOT RESPONSIBLE FOR PROVIDING EMERGENCY ASSISTANCE OR MEDICAL CARE. IN THE EVENT OF AN EMERGENCY, YOU AGREE TO SEEK ASSISTANCE FROM APPROPRIATE AUTHORITIES (E.G., 911) AND RELEASE HELP HANDED FROM ANY LIABILITY RELATED TO SUCH INCIDENTS.
20.2 User Waivers
BY USING OUR SERVICES, EACH USER EXPLICITLY AGREES THAT PROVIDING OR RECEIVING HELP SERVICES IS AT-YOUR-OWN RISK.
EXCEPT FOR GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT, USERS AGREE TO WAIVE, DISCHARGE, AND HOLD HARMLESS OTHER USERS FROM ANY AND ALL DAMAGES, INJURIES, LIABILITIES, CLAIMS, ACTIONS, OR DEMANDS THAT ARISE FROM OR THAT ARE IN CONNECTION WITH THE HELP SERVICES OR PERFORMANCE THEREOF.
Section 21 – General Disclaimers
OUR PLATFORM AND SERVICES ARE PROVIDED ‘AS IS’ AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, HELP HANDED AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, THIRD PARTY PROVIDERS AND AFFILIATES, EXCLUDE ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE.
WE DO NOT AND CANNOT GUARANTEE PERFECT AVAILABILITY OF OUR PLATFORM OR OUR SERVICES, WHICH MAY BE INACCESSIBLE, IN FULL OR IN PART, FROM TIME TO TIME. BY USING OUR PLATFORM OR OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT OPERATING AN ONLINE PLATFORM IS LIKE OWNING A LUXURY VEHICLE – UNEXPECTED ISSUES DO ARISE FROM TIME TO TIME AND SHOULD BE EXPECTED. YOU WILL NOT HAVE UNINTERRUPTED SERVICE OF OUR PLATFORM AT ALL TIMES.
WE DO NOT GUARANTEE THAT YOU WILL BE ABLE TO RECEIVE OR PROVIDE HELP SERVICES ON OUR PLATFORM.
WE EXPRESSLY DISCLAIM ANY LIABILITY FOR LOSS OR DAMAGE SUSTAINED BY YOU AS A RESULT OF USING OUR PLATFORM OR OUR SERVICES.
Section 22 – Limitation of Liability
WE SHALL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, NOR SHALL WE BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED THE LESSER OF (I) FIFTY DOLLARS, OR (II) THE TOTAL INTRODUCTION FEES YOU HAVE PAID HELP HANDED. YOU AGREE THAT THIS LIMITATION IS REASONABLE AND IS TIED TO OUR ROLE AS THE PROVIDER OF THE PLATFORM. SOME JURISDICTIONS DO NOT ALLOW A LIMITATION OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU IF YOU ARE IN ONE OF THOSE JURISDICTIONS. IN JURISDICTIONS THAT DO ALLOW LIMITATIONS OF LIABILITY, THE LIMITATION DESCRIBED ABOVE WILL APPLY FULLY TO RESIDENTS OF THOSE JURISDICTIONS.
HELP HANDED SHALL NOT BE LIABLE FOR ANY DAMAGES, CLAIMS, LOSSES, LIABILITIES, COSTS, OR EXPENSES (INCLUDING ATTORNEYS’ FEES) OF ANY KIND, ARISING FROM OR RELATED TO:
- ANY HELP REQUEST POSTED, OR HELP SERVICES OFFERED OR PERFORMED, THAT REQUIRE (OR ARE LATER DETERMINED TO HAVE REQUIRED) A PROFESSIONAL LICENSE, CERTIFICATION, PERMIT, OR OTHER GOVERNMENTAL OR REGULATORY AUTHORIZATION; OR
- ANY HELP REQUEST OR HELP SERVICE THAT FALLS OUTSIDE THE HELP TYPES AND CATEGORIES EXPRESSLY MADE AVAILABLE FOR SELECTION ON THE PLATFORM AT THE TIME OF POSTING OR RESPONDING.
IN NO EVENT SHALL HELP HANDED, ITS AFFILIATES, OFFICERS, OWNERS, DIRECTORS, EMPLOYEES, OR AGENTS HAVE ANY RESPONSIBILITY OR LIABILITY WHATSOEVER FOR (I) DETERMINING WHETHER ANY SERVICE OFFERED OR PERFORMED THROUGH THE PLATFORM REQUIRES A PROFESSIONAL LICENSE, CERTIFICATION, PERMIT, OR REGISTRATION; (II) ANY VOLUNTEER’S COMPLIANCE OR NON-COMPLIANCE WITH APPLICABLE LICENSING LAWS, REGULATIONS, OR PROFESSIONAL STANDARDS; OR (III) ANY FINES, PENALTIES, DAMAGES, CLAIMS, LOSSES, OR LIABILITIES OF ANY KIND ARISING FROM OR RELATED TO A VOLUNTEER’S PERFORMANCE OF AN UNLICENSED, PROHIBITED, OR REGULATED PROFESSIONAL SERVICE.
YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY, OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, THE USE OF OUR PLATFORM, OUR SERVICES, OR THESE TERMS MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE.
IF YOU ARE DISSATISFIED WITH OUR PLATFORM OR OUR SERVICES, YOU ARE NOT REQUIRED TO CONTINUE TO USE OUR PLATFORM OR OUR SERVICES.
Section 23 – Indemnification
23.1 User Indemnification Obligations
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Help Handed, its owners, officers, managers, investors, employees, agents, affiliates, successors, and assigns (collectively, the “Help Handed Parties”) from and against any and all claims, demands, actions, causes of action, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, defense costs, and all other costs incurred by Help Handed, arising out of or relating to:
(i) your conduct, acts, or omissions on or off the Platform, including but not limited to any Help Services you request, offer, perform, or participate in;
(ii) any interaction, dispute, or claim of any kind between you and another User, including claims alleging personal injury, emotional distress, harassment, assault, battery, or other harm of any kind;
(iii) your violation or alleged violation of these Terms, any Platform rules or policies, or applicable law;
(iv) any content, information, representations, or communications you submit, post, transmit, or make available through or in connection with the Platform; or
(v) any claim brought by another User or third party arising from or relating to your actions or omissions, even if such claim alleges negligence, failure to warn, failure to screen, or other alleged wrongdoing or alleged duty owed by Help Handed.
THIS INDEMNIFICATION OBLIGATION APPLIES EVEN IF THE CLAIM IS CAUSED, IN WHOLE OR IN PART, BY THE NEGLIGENCE OF HELP HANDED, EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
23.2 Defense Obligation
Your duty to defend the Help Handed Parties applies upon assertion of a claim, demand, or action and is independent of the ultimate determination of liability. Help Handed reserves the right, at its option, to assume control of the defense and settlement of any matter subject to indemnification, at your expense.
You shall not settle, compromise, or consent to the entry of any judgment in any such claim without Help Handed’s prior written consent (which consent shall not be unreasonably withheld, conditioned, or delayed).
23.3 Scope of Indemnification
This indemnification obligation applies regardless of the legal theory asserted, including claims sounding in tort, contract, statute, equity, or otherwise, and regardless of whether the claim is brought in arbitration, court, or any other forum.
2.4 Survival
Your indemnification obligations under this Section survive termination or suspension of your account, your use of the Platform, and these Terms.
23.5 No Limitation by Insurance
Your indemnification obligations are not limited by any insurance coverage you may or may not maintain.
Section 24 – Dispute Resolution, Arbitration, and Class Action Waiver
These Terms shall be governed by the laws of the State of Kentucky.
If any dispute arises between you and Help Handed regarding these Terms, your use of our Services, or any other matter, we encourage you to first contact our customer support team at help@helphanded.com and seek an informal resolution. We will make reasonable efforts to resolve disputes amicably within 30 days of receiving your complaint.
If we are unable to resolve the dispute informally, both parties agree to resolve the matter through the mandatory binding arbitration process outlined below, except where prohibited by law:
- All disputes with Help Handed arising from or related to these Terms, your use of our Platform, or anything connected thereto shall be subject to mandatory binding arbitration in Covington, Kentucky, except for disputes relating to injunctive or equitable relief which may be brought in any court of competent jurisdiction. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).
- To the extent permitted by applicable law, you and Help Handed agree that all disputes arising out of these Terms or our Platform are personal to you and Help Handed and that any disputes, if any, will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action, or any other type of similar proceeding.
- The arbitration provision and class-action waiver do not prevent either party from seeking injunctive relief in a court of law to prevent intellectual property infringement or unauthorized use of proprietary materials.
Section 25 – Miscellaneous
Entire Agreement. These Terms contain the entire agreement between you and Help Handed, except for any information found on our Platform that is explicitly referenced herein.
Waiver. The failure by Help Handed to enforce any provision of these Terms shall not be construed as a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of these Terms.
Assignment. You may not assign, pledge, delegate, or otherwise transfer any of your rights or obligations under these Terms without Help Handed’s prior written consent.
Relationship. Nothing in these Terms shall create, or is intended to create, an agency, employment, franchise, joint venture, or partnership relationship between you and Help Handed.
Severability. If any provision of these Terms shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If an arbitrator or panel of arbitrators finds that any provision of these Terms is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
Updates. We may update these Terms from time to time, and your continued use constitutes acceptance of all such changes.
